These Terms of Service ("Terms") form a legally binding agreement between you and Malak Star Software Solutions Pvt. Ltd. ("Zerupt", "we", "us", or "our") and govern your access to and use of the Zerupt platform, website, and related services (the "Service").
By creating an account, clicking "I agree", or otherwise accessing or using the Service, you agree to be bound by these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.
If you do not agree to these Terms, do not access or use the Service.
Acceptance of Terms
These Terms apply to all visitors, registered users, and any other person or entity that accesses the Service. These Terms take effect from the date you first access or use the Service and remain in force until terminated in accordance with these Terms. We may update these Terms from time to time; continued use of the Service after an update constitutes acceptance of the revised Terms.
Description of the Service
Zerupt provides a cloud-based retail ERP platform designed to help businesses manage inventory, point-of-sale operations, purchasing, sales, accounting, and related business functions. The Service is offered on a subscription basis and may include AI-powered features, reporting tools, and integrations with third-party services.
We may add, modify, or discontinue features or components of the Service at any time. We will not materially reduce the core functionality of a paid subscription plan during a paid term without providing reasonable advance notice and offering affected customers a remedy.
Accounts and Eligibility
- You must be at least 18 years old and have full legal capacity to enter into a binding contract.
- You must provide accurate, current, and complete information when registering and must keep your account information updated.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at hussain@zerupt.com if you suspect any unauthorised access to your account or any security breach.
- You may not share, transfer, or permit access to your account by unauthorised persons.
- One person or legal entity may not maintain more than one free account.
Acceptable Use
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
- Use the Service in violation of any applicable law, regulation, or third-party rights.
- Upload, store, or transmit any content that is unlawful, infringing, harmful, fraudulent, or offensive.
- Introduce malware, viruses, or any malicious code into the Service or our infrastructure.
- Attempt to gain unauthorised access to the Service, other users' accounts, or our systems.
- Interfere with or disrupt the integrity, performance, or availability of the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where expressly permitted by law.
- Resell, sublicense, or otherwise provide the Service to third parties without our prior written consent.
- Use the Service to transmit unsolicited bulk communications (spam).
- Misrepresent your identity or affiliation in using the Service.
We reserve the right to investigate suspected violations and, if appropriate, suspend or terminate your access to the Service.
Subscriptions, Billing, and the Founding-50 Guarantee
- The Service is offered on a subscription basis. Applicable fees, billing frequency, and plan features are described at the point of purchase and on our pricing page.
- We may offer a free trial. Unless you cancel your subscription before the trial period ends, your paid subscription will begin automatically and the applicable fee will be charged.
- Payments are processed by our third-party payment processor (Razorpay). By subscribing, you authorise us and Razorpay to charge recurring fees to your payment method on the applicable billing cycle.
- Subscriptions automatically renew for successive periods of the same duration unless you cancel before the renewal date. You may cancel at any time; the cancellation takes effect at the end of the current billing period.
- All fees are stated exclusive of applicable taxes, duties, or levies, which are your responsibility.
- Except as set out in our Refund Policy, which includes a 14-day free trial and a 30-day money-back guarantee, and except where required by applicable law, fees for a billing period that has already started are non-refundable and we do not provide credits for unused features or partial periods.
- We may change subscription fees at any time; changes will apply from your next renewal date, and we will give reasonable advance notice.
- [GUARANTEE TERMS: to be confirmed by counsel]: Qualifying Founding 50 customers may be entitled to a satisfaction guarantee as described at the time of enrolment. Details, eligibility criteria, and redemption process must be finalised by legal counsel before launch.
Customer Data Ownership
You retain full ownership of all data, records, and content you submit to or create within the Service ("Your Data"). We do not claim any intellectual property rights over Your Data.
You grant Zerupt a limited, non-exclusive, worldwide, royalty-free licence to host, process, store, transmit, and display Your Data solely to the extent necessary to provide and improve the Service and as permitted by our Privacy Policy. This licence ends when you delete Your Data or terminate your account, subject to data we are required by law to retain.
You are solely responsible for the accuracy, legality, and completeness of Your Data. You represent and warrant that you have obtained all consents and authorisations required to upload and process Your Data, including any personal data relating to your customers, employees, or suppliers. You may export Your Data at any time while your account is active.
Intellectual Property
The Service (including its software, code, design, user interface, trademarks, logos, and all other content created by Zerupt) is owned by Malak Star Software Solutions Pvt. Ltd. and its licensors and is protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service solely for your internal business operations during your subscription term, subject to these Terms. We reserve all rights not expressly granted.
Feedback, suggestions, or ideas you submit about the Service may be used by us freely and without obligation to you.
Third-Party Services
The Service may integrate with or depend on third-party services such as payment processors, authentication providers, cloud infrastructure, AI model providers, and communication tools. Your use of those integrations may be subject to the third party's own terms and privacy policies.
We are not responsible for the acts or omissions of third-party services we do not control. If a third-party integration becomes unavailable, we will use reasonable efforts to provide an equivalent or to notify you promptly.
Disclaimers and Warranties
The Service is provided "as is" and "as available" without any representations or warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability, to the maximum extent permitted by applicable law.
Zerupt is a business-management tool and does not constitute legal, tax, accounting, financial, or professional advice. Outputs generated by the Service (including AI-generated content) are for informational purposes only. You are solely responsible for verifying accuracy and for meeting your compliance, regulatory, and filing obligations.
We do not guarantee that the Service will be error-free, uninterrupted, or free from harmful components. We reserve the right to perform scheduled maintenance and, where necessary, emergency maintenance, which may result in temporary unavailability.
Limitation of Liability
To the maximum extent permitted by applicable law, Zerupt and its officers, directors, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, arising out of or in connection with the Service or these Terms.
Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms, whether in contract, tort, statute, or otherwise, shall not exceed the total fees you paid to us for the Service in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions or limitations are not permitted, they shall apply to the maximum extent permitted by applicable law.
Termination
You may stop using the Service and cancel your subscription at any time by following the cancellation procedure in your account settings or by contacting us at hussain@zerupt.com.
We may suspend or terminate your access to the Service immediately, with or without notice, if: (a) you materially breach these Terms and fail to cure the breach within a reasonable period after receiving notice; (b) you fail to pay any fees when due; (c) continued access poses a security or legal risk to us or other users; or (d) we are required to do so by law.
Upon termination, your right to access and use the Service ends immediately. We will make Your Data available for export for a limited period after termination as described in our Privacy Policy. After that period, Your Data may be permanently deleted.
Governing Law and Disputes

The parties agree to submit to the exclusive jurisdiction of the courts located in [city/state: to be confirmed by counsel], subject to any mandatory consumer-protection rights you may have under the laws of your country of residence.
Before initiating any formal dispute, the parties agree to attempt to resolve it informally by contacting hussain@zerupt.com and allowing a reasonable period of good-faith negotiation.
Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our business, or applicable law. We will post the revised Terms with an updated "Last updated" date. Where changes are material, we will provide additional notice (for example, by email or an in-app notification) at least 14 days before the changes take effect (or shorter notice where required by law or to address a security or legal issue). Your continued use of the Service after the effective date of revised Terms constitutes your acceptance.
Miscellaneous
- Entire agreement: These Terms (together with the Privacy Policy and any order form) constitute the entire agreement between you and Zerupt relating to the Service and supersede all prior agreements.
- Severability: If any provision is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
- No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity.
- Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
