Terms of Service

• You must be at least 18 years old and capable of forming a binding contract.
• You must provide accurate, current, and complete registration information and keep it updated.
• You are responsible for all activity under your account and for keeping your credentials confidential.
• You must notify us promptly of any unauthorised use of your account or suspected security breach.

Zerupt provides a cloud-based retail ERP that helps you manage inventory, sales, purchasing, accounting, and related operations. We may add, modify, or remove features over time. We will not materially reduce the core functionality of a paid plan during a paid term without notice.

• The Service is offered on a subscription basis. Fees, billing frequency, and plan features are described at the point of purchase.
• We may offer a free trial. Unless you cancel before the trial ends, your subscription will begin and applicable fees will be charged.
• Payments are processed by our third-party payment processor (Razorpay). By subscribing, you authorise recurring charges to your chosen payment method.
• Subscriptions renew automatically for successive terms unless cancelled before the renewal date. You can cancel at any time, effective at the end of the current billing period.
• Fees are stated exclusive of taxes; you are responsible for any applicable taxes, duties, or levies.
• Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods or unused features.
• We may change our prices; we will give reasonable advance notice, and changes apply from your next renewal.

You agree not to:

• Use the Service in violation of any applicable law or regulation.
• Upload or transmit malicious code, or attempt to gain unauthorised access to the Service or other accounts.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, copy, or create derivative works of the Service except as permitted by law.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted.
• Use the Service to store or transmit content that is unlawful, infringing, or harmful.

You retain all rights to the data and content you submit to the Service ("Your Data"). You grant us a limited licence to host, process, and transmit Your Data solely to provide and improve the Service and as permitted by the Privacy Policy.

You are responsible for the accuracy and legality of Your Data and for obtaining any consents required to provide it to us, including data about your own customers and employees. You can export Your Data while your account is active.

The Service, including its software, design, and trademarks, is owned by Zerupt and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. We retain all rights not expressly granted.

The Service may integrate with or rely on third-party services (such as authentication, payment, hosting, and AI providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, suspend, or restrict access where necessary for security, legal, or operational reasons, and will use reasonable efforts to minimise disruption.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that poses a risk to us or others.

On termination, your right to use the Service ends. We will make Your Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Zerupt is a business tool and does not provide legal, tax, accounting, or financial advice; you are responsible for verifying outputs and meeting your compliance obligations.

To the maximum extent permitted by law, Zerupt and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Zerupt from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your breach of these Terms or of applicable law.

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts located in Banswara, Rajasthan, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have in your country of residence.

We may update these Terms from time to time. We will post the revised version with an updated "Last updated" date and, where changes are material, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
